When using Fully Virtualized Machines (KVM) Proxmox will use ACPI to send clean shutdown signals to the Virtual Machines via the web gui and scripts. Your guest need to support ACPI to be able to shut down clean.
For Linux Virtual Machines, make sure that the ACPI event daemon is installed and running. Desktop distributions should already have it, but minimal or Server distributions may not.
For Ubuntu and Debian, all versions, install the package acpid.
For Windows, make sure an ACPI hal is installed.
